Terms of Service

These Terms of Service ("Terms") govern the use of dmconverts (the "Service"). By creating an account or using the Service you ("Customer") accept these Terms on behalf of the business you represent.

1. The parties

The Service is provided by:

("we", "us").

The Service is for businesses: brands, webshops and the agencies that work for them. It is not offered to consumers. You confirm that you act in a business capacity and may bind the business you register.

2. The Service

dmconverts connects to your Instagram professional account through Meta's Instagram API and:

• replies privately to comments (and, where enabled, direct messages) that match your campaign rules;
• hands out coupon codes from your connected webshop;
• tracks clicks on the links in those messages; and
• matches orders from your webshop to the campaigns that produced them.

The Service depends on Meta. Meta may change or limit its API, permissions or rate limits at any time, and we are not responsible for interruptions caused by Meta. We may change or improve features, and we will tell you in advance about changes that materially reduce the Service you pay for.

You are responsible for your account and for everything done under it, including by team members you invite.

3. Plans, prices and quota

Paid plans are monthly subscriptions, billed in advance through Stripe. Monthly prices are net of VAT; VAT is added at checkout where it applies:

Prices are charged in HUF when you subscribe on the Hungarian site and in USD otherwise.

Each plan includes a monthly number of funnel starts (the first private reply sent to a commenter), shown on the pricing page. Above the quota and its grace buffer, new funnel starts are paused until the next month or until you upgrade.

The subscription renews every month until you cancel it. You can cancel at any time; the plan stays active until the end of the month you have paid for. Fees already paid, including for a month that has started, are not refunded unless the law requires it. We may change prices with at least 30 days' notice before your next renewal.

4. Your duties

You must use the Service lawfully and in line with the Meta Platform Terms, Meta's Developer Policies and Instagram's rules. In particular, you must not:

• send spam or messages to people who have not interacted with your account;
• send misleading, harassing or illegal content, or promote prohibited products;
• get around the opt-out (for example a "STOP" reply), Meta's rate limits or your quota;
• sell or share commenter data, or use it for anything other than your own campaigns;
• interfere with the Service or access other customers' data.

Your campaign messages, coupon offers and linked pages are your content and your responsibility. You must hold the rights to the Instagram account and webshop you connect. We may suspend campaigns or accounts that breach this section or put our Meta app at risk, with notice where reasonably possible.

5. Personal data

For our customers' accounts and billing, we are the controller. For the data of people who comment on or message your Instagram account, you are the controller and we process that data on your behalf, only to provide the Service. You are responsible for having the commenters' consent or another valid legal basis, and for informing them, including through the privacy link every campaign must include. Details are in our Privacy Policy.

6. Liability

The Service is provided "as is". We do not promise any sales result, message delivery rate or attribution accuracy.

To the extent the law allows, our total liability in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect loss, lost profit or lost data, or for loss caused by Meta, webshop platforms or your own content. These limits do not apply to intentional breach, or to damage to life, physical integrity or health.

7. Termination

You may close your account at any time. We may terminate these Terms with 30 days' notice, or immediately for a serious breach. After termination your Instagram connection is removed and your data is deleted as described in the Privacy Policy, except records we must keep by law.

8. Governing law and courts

These Terms are governed by Hungarian law. Disputes go to the competent court in Budapest, unless mandatory law provides otherwise.

9. Changes to these Terms

We may update these Terms. We will email you about material changes at least 30 days before they take effect. If you keep using the Service after that date, you accept the new Terms; if you do not accept them, you can cancel before then.

These Terms are available in English and Hungarian. If you subscribe on the Hungarian site, the Hungarian version applies; otherwise the English version applies.
